The 6 most common types of business registration amendment
Under the 2020 Law on Enterprises and Decree 01/2021/ND-CP, a company must carry out an amendment procedure whenever any registered information changes. Since July 1, 2025, the entire procedure is 100% online with a state fee of VND 0.
Company name change
Art. 28 Law on EnterprisesThe new name must not duplicate or cause confusion with an already-registered enterprise. Requires meeting minutes, a name-change resolution, and an amended charter.
After renaming, the bank account, invoices, and company seal must be updated.
Head office address change
Art. 31 Law on EnterprisesChange within the same province: notification only. Change to another province: re-registration, transfer of tax records.
Requires a new lease agreement or documents proving the right to use the location.
Charter capital change
Art. 29 Law on EnterprisesCapital increase: meeting minutes, increase resolution, bank statement. Capital decrease: all debts must be settled, creditors notified 6 months in advance.
A change in capital affects the annual business license tax rate.
Legal representative change
Art. 30 Law on EnterprisesThe new legal representative must be at least 18 years old, have full civil act capacity, and not be barred from managing an enterprise.
After the change, the signature registered with the bank must be updated.
Member/shareholder change
Art. 52 Law on EnterprisesLLCs: offer must be made to existing members first, for 30 days. JSCs: shares are freely transferable except founding shares within the first 3 years.
The transfer agreement must be notarized or authenticated.
Business line change
Art. 28 Law on EnterprisesAdding or removing business lines on the Enterprise Registration Certificate. Conditional business lines: conditions must be met BEFORE operating.
Check against Vietnam's VSIC 2018 economic sector classification system.
Important note: statutory deadline
Under Articles 30, 31, 32 of the 2020 Law on Enterprises, a company must notify a change within 10 working days from the date the change is decided. Failure to meet this deadline can result in an administrative fine of VND 10–20 million under Decree 122/2021/ND-CP.

Dossier required for a business registration amendment
The specific dossier depends on the type of change. Below is a consolidated list — LTV Law will determine the exact list for each specific case after consultation.
- Notice of change to enterprise registration content (per the form under Decree 01/2021)
- Resolution of the owner/Members' Council/Board of Directors on the content of the change
- Minutes of the Members' Council/General Meeting of Shareholders (if a meeting is required)
- Amended company charter (if the charter is changed)
- ID card/passport of the new legal representative (if the legal representative is changed)
- New list of members/shareholders (if members are changed)
- Capital contribution/share transfer agreement (if members are changed)
- Documents for the new head office (if the address is changed)

Note: Each type of change has its own distinct dossier. For example: an address change does not require an amended charter if the charter does not state the address; a capital change requires an amended charter.
