Company formation in Vietnam — fast, simple, low cost

Under the 2020 Law on Enterprises (59/2020/QH14) and Decree 01/2021/ND-CP, the company formation procedure in Vietnam has been significantly simplified. The Business Registration Office issues the Enterprise Registration Certificate within 3 working days, and since July 1, 2025, the entire process is carried out 100% online through the National Business Registration Platform.

5 Types of Business Entities in Vietnam

The 2020 Law on Enterprises provides for 5 types of business entities. Choosing the right entity type from the outset optimizes the governance structure, tax treatment, and future fundraising capacity.

1 owner

Single-Member LLC

  • 1 owner (individual or organization)
  • Limited liability up to the contributed capital
  • No share issuance
  • Suited to: single-founder startups
2–50 members

Multi-Member LLC (2+)

  • 2 to 50 members
  • Limited liability in proportion to capital contribution
  • No public share issuance
  • Suited to: partnerships of 2–50 co-founders
≥3 shareholders

Joint-Stock Company

  • Minimum 3 shareholders, no maximum limit
  • May issue shares and list publicly
  • Professional governance structure
  • Suited to: raising VC/PE funding or an IPO

Partnership

  • At least 2 general partners
  • General partners: unlimited liability
  • May also have capital-contributing partners
  • Suited to: law firms, audit firms

Documents Required for Company Formation

Documents to provide to LTV Law
  • Enterprise registration declaration (Appendix I–III forms, Decree 01/2021)
  • Company charter (signed by founding members/shareholders)
  • Member/shareholder list (multi-member LLC, joint-stock company)
  • ID cards of all members/shareholders
  • Head-office documents (lease agreement or land-use right certificate)
  • Practising certificate (for conditional business lines)
  • Power of attorney for LTV Law

Note on conditional business lines: If the business operates in a sector listed in Appendix IV of the 2020 Law on Investment (healthcare, education, finance, real estate, etc.), additional practising certificates or specific business conditions must be prepared before commencing operations.

Annual business license fee: Charter capital above VND 10 billion: VND 3,000,000/year; VND 10 billion or below: VND 2,000,000/year; newly formed enterprises are exempt from the business license fee in their first year.

Charter capital must be fully contributed within 90 days of the certificate issuance date (Article 47, 2020 Law on Enterprises). Non-compliance is subject to administrative penalties.
