Key Legal Rules
Commercial contract breach penalty (Article 301, Commercial Law 2005)
A maximum of 8% of the value of the breached obligation — applies only when the contract contains an express penalty clause. No automatic penalty if the contract is silent.
Limitation period for commercial contract claims (Article 319, Commercial Law 2005)
2 years from the date the lawful rights and interests were known to have been violated. The right to sue is lost once this period expires.
Void contracts (Articles 123–133, Civil Code 2015)
A contract is void where it: violates a legal prohibition or is contrary to social ethics; is a sham transaction; involves mistake, fraud or duress; or is entered into by a party lacking legal capacity.
VIAC arbitration — requires an arbitration clause in the contract
To be resolved at VIAC, the contract must contain an arbitration clause. Awards are confidential and recognized in 170 countries under the 1958 New York Convention.
