A contract that appears validly signed can still be declared void if it fails to meet the conditions the law requires for a valid civil transaction. When that happens, the contract has no legal effect from the outset, and the consequences differ significantly from ordinary termination. Understanding the grounds for invalidity helps businesses avoid unenforceable agreements.

Common grounds for invalidity

Under Vietnamese civil law, a contract may be void where, among other reasons:

  • It violates a prohibition of law or is contrary to social morality.
  • It is entered into as a sham to conceal another transaction.
  • One party lacks the legal capacity to enter into it.
  • Consent was affected by mistake, deception, or coercion.
  • The required form is not observed where the law mandates a specific form (for example, notarisation or registration) — subject to certain remedial rules.

Whole or partial invalidity

A contract may be void in whole or only in part. If only certain terms are invalid but the rest can still operate independently, the valid parts may remain effective while only the offending provisions fall away. This distinction can significantly affect the outcome of a dispute.

Consequences of a void contract

  • The contract does not give rise to the rights and obligations the parties intended, with effect from the time it was entered into.
  • The parties generally must restore each other to their original positions, returning what they received; where restitution in kind is impossible, monetary settlement applies.
  • The party at fault may be liable to compensate the other for resulting damage.

A court declares a contract void, typically on the request of a party or another person with a related interest. Some grounds must be raised within a limitation period, while others can be raised at any time.

Is a void contract the same as a terminated contract?

No. A void contract is treated as having no effect from the beginning, whereas termination ends a valid contract going forward. The consequences differ, especially on restitution.

Can a defect in form always be cured?

Not always. Certain form defects can be remedied if the parties have substantially performed, but this depends on the specific facts and legal requirements.
