Sales promotions such as discounts, gifts, and prize-based programmes are common marketing tools in Vietnam. Under the Commercial Law and its implementing rules, traders running promotions must in most cases notify or register the campaign with the competent state authority, usually the Department of Industry and Trade, before it begins.
Notification versus registration
The procedure depends on the type of promotion. Simpler campaigns generally require a notification, while promotions involving an element of chance require prior registration and closer oversight.
- Notification: applies to many standard forms, such as discounts and free gifts, filed with the provincial Department of Industry and Trade.
- Registration: applies to promotions determined by lot or chance, which require approval before the campaign runs and reporting afterwards.
- Multi-province campaigns and certain nationwide programmes may involve the central authority.
Compliance points
The rules cap the maximum value and duration of certain promotions and require clear disclosure of the promotion terms to customers. Traders should observe:
- The statutory limits on discount rates and the value of promotional goods.
- Clear terms, including the promotion period, eligible goods, and conditions.
- Record-keeping and, for prize promotions, reporting of results and handling of unawarded prizes.
Consequences of non-compliance
Running a promotion that should have been notified or registered without completing the procedure, or breaching the value or disclosure rules, can lead to administrative penalties. Completing the filing in advance keeps the campaign on a sound footing.
